1. Incorporation Services

BUSINESS NAME - A Business Name means the name and style under which a business is carried on. A Business Name may be a Sole Proprietorship or a Partnership. It is a Sole Proprietorship if it is carried on by an Individual or a Corporate Body solely. It is a Partnership if it is carried on by two or more Individuals or Corporate Bodies or a combination of Individuals and Corporate Bodies. A Business Name does not enjoy a legal personality. It is not separate from the proprietor or partners for the purpose of liability. The liability of the proprietor or partners in a Business Name is not limited.

COMPANY - A Company is a business arrangement which enjoys legal personality. It is a corporate body separate from its members (owners). The liabilities of members (owners) of a Company may be limited by shares guarantees or may be unlimited. A Company may be public or private. The name of a Company must end with the word “Limited” or “Limited by Guarantee” or “Unlimited” or their abbreviations (“Ltd or PLC” or “Unltd” or “Ltd/Gte”)

INCORPORATED TRUSTEE - An Incorporated Trustee is the registered trustee of a Not-for-Profit Association. The objects of the Association must be religious, educational, literary, scientific, social, developmental, cultural, sporting or charitable. The Trustees are the legal representatives of the Association and can acquire property, sue and be sued in the name of the Association. The Trustees are subject to the directions of the Association and its Governing Council (if any).

LIMITED PARTNERSHIP - A Limited Partnership (LP) is a partnership arrangement with at least one general partner and at least one limited partner. The liabilities of a general partner are unlimited while the liabilities of a limited partner are limited (unless he participates in the partnership's management). An LP shall not consist of more than 20 persons. The name of an LP must end with the word “Limited Partnership” or the abbreviation “LP”.

2. Statutory Registration With Regulators

FEDERAL INLAND REVENUE SERVICE (FIRS) - As the apex tax administration agency. All Companies must register with FIRS. Taxes collectable by the agency include Value Added Tax (VAT), Education Tax (EDT), Company Income Tax (CIT), Withholding Tax (WHT) etc The Agency is also the issuing body of Corporate Tax Clearance Certificates.

STATE IRS – The State Internal Revenue Service concerns itself primarily with individual taxes. Taxes collectable by the Agency include Pay As You Earn, Personal Income Tax, Withholding Taxes on individuals etc. The Agency is the issuing body of the Individual Tax Clearance Certificates.

INDUSTRIAL TRAINING FUND (ITF) - The Industrial Training Fund (ITF) is a parastatal of the Federal Government of Nigeria under the Ministry of Industry, Trade and Investment and it was established in 1971. The essence of the establishment of the agency is to promote and encourage the development and acquisition of industrial and commercial skills required in various industries across the nation.

It is the issuing body of the Industrial Training Fund Compliance Certificate.

THE NIGERIA SOCIAL INSURANCE TRUST FUND - NSITF is a proactive and employee-dedicated government institution committed to the welfare of employees in the event of work-related accidents and injuries. The private sector makes contributions for their staff to the funds through a scheme known as called employee compensation scheme. The rate is 1% of Payroll.

It is the issuing body of the Employee Compensation Fund Compliance Certificate.

NATIONAL PENSION COMMISSION (PENCOM) - The Pension Reform Act 2004 established the National Pension Commission (PENCOM) as the body to regulate, supervise and ensure the effective administration of pension matters in Nigeria.

It is the issuing body of the PENCOM Certificate.

FEDERAL MINISTRY OF INTERIOR: Citizenship and Business Department of the Federal Ministry of Interior bear the responsibility of Processing and granting Expatriate Quota requests and Business Permit; Monitoring the implementation of the Expatriate Quota facilities by the benefitting companies in conjunction with the Nigeria Immigration Services (NIS).

It is the issuing body of Expatriate Quotas and Business Permits for Foreigners/Foreign entities.

FEDERAL MINISTRY OF LABOUR AND PRODUCTIVITY: Companies or Organizations willing to start a recruitment service in Nigeria are required by the Labour Act Cap 198 LFN 1990 (Sections 23, 24, 25 and 71) to apply for registration and obtain the Recruiter's License/Employer's Permit from the Federal Ministry of Labour and Productivity.

DEPARTMENT OF PETROLEUM RESOURCES (DPR): The DPR is the regulatory agency charged with the duty of supervising the Petroleum Industry operation and Processing industry applications for leases, licenses and permits. A company that intends to operate, engage, or render technical services in the Oil and Gas Industry in Nigeria must obtain the requisite permit from the DPR before commencing business.

NATIONAL AGENCY FOR FOOD AND DRUG ADMINISTRATION AND CONTROL (NAFDAC): NAFDAC is the agency saddled with the responsibility for regulating and granting permits for the exportation, importation, manufacture, and registration of products such as drugs, chemicals, consumable goods, cosmetics, biological, and medical services which are produced in or outside Nigeria.

FEDERAL MINISTRY OF INDUSTRY, TRADE AND INVESTMENT: The Commercial Law Department, Trademarks, Patents and Designs Registry of the Federal Ministry administers the protection of trademarks, patents and designs in Nigeria.

A TRADEMARK is a recognizable name or design, which is legally registered and used to identify and distinguish a product or service from others.

A PATENT is an authority or license conferring a right or title on an inventor for a set period, especially the right to exclude others from making, using or selling an invention. Patents protect new inventions such as new processes, machines and chemicals.

An INDUSTRIAL DESIGN is the ornamental or aesthetic aspect of an article. The design may consist of three-dimensional features, such as the shape of an article, or two-dimensional features, such as patterns, lines or colour. Industrial Designs are applied to a wide variety of products of industry and handicrafts such as technical and medical instruments, watches, jewellery, house-ware, electrical appliances, vehicles, architectural structures, textile designs, leisure goods and other luxury items.
